Janusz Czarnecki – President of the Management Board

Janusz Czarnecki is an experienced manager, an expert in electronics and military systems, as well as a long-time officer in the Polish Army and a participant in key industrial processes in Poland. He holds a master’s degree in electronics engineering with a specialization in radiolocation systems from the Military University of Technology in Warsaw, and postgraduate education in organization and management from the Adam Mickiewicz University. He served in the structures of the Polish Army for almost 30 years, reaching the rank of colonel and holding many command, staff and leadership positions. He specialized in electronic and radar systems, military infrastructure security, and coordination of armament and R&D projects. In his final years of service, he was responsible for strategic planning and implementation of high-technology systems in line units and command structures.

After moving to the civilian sector, he took a position as chief specialist at the Ministry of Metallurgy and Machinery Industry, where he was in charge of supervising research and implementation work in the field of professional electronics, international cooperation, and overseeing the production of equipment for the defense industry. He represented Poland internationally as a member and then chairman of the Polish Delegation to the Permanent Working Group of the International Commission on Defense Industry.

In subsequent years, he held management and expert positions in companies related to the electronics sector, the defense industry, information security and technology cooperation with foreign military solution providers. Among other things, he was. an advisor to conglomerate ZTE Corporation Ltd. (China) for the company’s introduction to the Polish market, as well as managing director of the Center for Economic Studies and Analysis, where he carried out analyses on industrial infrastructure modernization and security.

He has served on the boards and supervisory boards of companies related to strategic industry, military infrastructure, protection of classified information and the implementation of defense procurement. He participated in the work of the Central Research and Development Programs, with responsibility for reviewing and implementing projects crucial to national security. He is the co-author of innovative organizational solutions in the Polish defense industry, implemented in cooperation with state institutions.

From 2012 to 2015, he was a member of the statutory authorities of the National Chamber of Commerce for Electronics and Telecommunications, participating in industry dialogue with government administration and NATO structures. He is also registered in the list of receivers and court supervisors at the District Court in Warsaw, as well as in the register of entities participating in the legislative process in Poland.

Since 2020, he has served as CEO of MBF Group SA, a public company listed on the NewConnect market, specializing in the wholesale trade of raw materials, chemicals, industrial components and products with civil and military applications. At the same time, he heads the board of directors of the company European Documentation Center SA.

In April 2025, Janusz Czarnecki was awarded the Honorary Medal of “Merit for Polish Industry”(Bene Meritus pro Industria Poloniae) by the Honorary Chapter of the Polish Industrial Lobby named after him. Eugeniusz Kwiatkowski. The award, which has been given since 2013 to individuals who have made contributions to the development of the sovereign strategic industry, recognizes its many years of service to the state and its active participation in the transformation of the country’s defense and high-tech industries. As Secretary of the PLP Program Council, Chairman Czarnecki also plays a key role in creating an expert environment to support the modernization of the Polish Armed Forces and the country’s industrial policy.

Mr. Janusz Czarnecki is not engaged in any activity competitive to MBF Group S.A. and is not listed in the Register of Insolvent Debtors maintained pursuant to the KRS Act. He does not participate in a competing company as a partner in a civil partnership, partnership or as a member of a body of a capital company and does not participate in another competing legal entity as a member of its body.

Members of the Company’s Board of Directors avoid engaging in professional or non-professional activities that could lead to conflicts of interest or adversely affect their reputation as a member of a corporate body.
