Technology requires trust. MBF Group secures projects and continues to grow

In long-term technology projects, success depends not only on the idea, but also on the quality of the relationships among participants, a clear division of rights and responsibilities, and the ability to make predictable decisions. For a public company, the ability to verify the source of the technology, documentation, and information subsequently used in communications with investors is also of particular importance. Therefore, any cooperative structure should be based on transparency, mutual sharing of information regarding activities related to the joint venture, and accountability for the materials provided. MBF Group’s latest decision does not change the direction of its UAV projects, but is intended to clarify their legal and organizational framework ahead of the next stage of commercialization.

Cooperation requires competence, transparency, and trust

According to ESPI Current Report No. 52/2026, MBF Group has terminated the existing Consortium Agreement, observing the 90-day notice period provided for therein. The termination of this cooperation arrangement does not jeopardize the technology, documentation, or transfer of know-how related to the Iryda+ X1 platform, nor does it affect the validity of separate agreements entered into by the Company with its technology partner. Activities related to production in Poland, the commercialization of the system, cooperation with ARMPOL, the initial order for ten complete sets, and the SPACE Z1 program. From the perspective of the Company’s security, the safest of the currently available options was therefore chosen: protecting the Issuer’s rights while maintaining full continuity of ongoing projects.

Documentation Audit and Ongoing Development of the Iryda+ X1 Unmanned System at MBF GroupOne of the facts that came to light was that Squadron Sp. had filed two applications for the word mark “Iryda Plus.” LLC, solely on its own behalf, on March 23 and June 23, 2026, without first informing the other members of the Consortium of its intention to file them or of the filing itself. During the same period, the designation was used publicly and commercially as the name of the joint venture, and MBF Group used it for market communications, discussions with investors and partners, as well as promotional and commercialization activities. These are the facts described in the stock exchange report; however, the assessment of their legal implications remains the subject of relevant analyses and proceedings. The company does not currently conclude that there has been a breach of the agreement or of any laws, but it is obligated to respond to circumstances that could affect its rights, projects, and the interests of its shareholders.

The Management Board decided to conduct a comprehensive audit of the information and documentation provided to MBF Group as part of their existing collaboration, with particular emphasis on the source of that information, the origin of the proposed solutions, and the continuity of rights to the results of the work. The mere initiation of this procedure does not imply a finding that the previously published information was incorrect or that the rights of third parties were infringed. The Company’s task now is to calmly verify the documents and rights, safeguard its own interests, and provide the market with an update if the audit results so require.

Iryda+ X1 is a real system, not a project that exists solely as AI

The Iryda+ X1 platform, developed jointly with Shark Aviation—whose team is responsible for the system’s technological and engineering aspects—remains the most important reference point for the MBF Group’s future activities. During a demonstration held on July 19, 2026, at a test range in Turkey, five prototype platforms were used, and all of them successfully completed their assigned scenarios. The tests included, among other things, an autonomous mission profile approximately 24 kilometers long, separate missions by individual aircraft, and the simultaneous operation of two platforms controlled by a single operator using a single ground control station. The results were described in the final technical report, which was signed and approved by MBF Group and Shark Aviation.

The system’s performance in a real-world flight environment, as well as its autonomous mission planning and execution, telemetry, communications, and the management of more than one aircraft, were verified. It is precisely these results that serve as the basis for the MBF Group to make further business decisions, engage in discussions with customers, and plan the next stages of its development. The company deliberately focuses on solutions that can be demonstrated, tested, documented, and evaluated by potential users.

The fact that the project is moving toward market launch is confirmed by a preliminary order for ten complete X1 sets received from a business partner in Asia. Each kit is to include one unmanned platform, a ground control station, a telemetry module and antennas, mission planning software, a battery, a charger, a transport case, and operational documentation. A preliminary order is not yet a sales contract, but it serves as a concrete basis for further negotiations regarding the first batch of systems, additional equipment, training, service, and technical support. The next round of talks with the contractor is scheduled to take place during the MSPO 2026 International Defense Industry Exhibition in Kielce.

The first public unveiling of the X1 in Poland and Europe is scheduled for September 8, 2026, during a conference taking place on the first day of MSPO. MBF Group will participate in a panel discussion and present a paper on the system, its development, and the importance of dual-use technology. Participation in the event will provide an opportunity to speak directly with representatives from industry, the military, government, academia, as well as potential customers and system integrators. The Company’s goal is to use MSPO not merely as a public relations event, but as a venue for further project validation, the presentation of reference platforms, and discussions leading to contracts, orders, or subsequent demonstrations.

Of particular importance for the commercialization of the system is the three-year agreement on strategic industrial, technological, and commercial cooperation concluded with ARMPOL Innovation and Implementation Company. ARMPOL has many years of experience in the development, integration, and production of specialized equipment designed for use in defense, security, emergency response, and civil protection, among other fields. The agreement provides for the inclusion of X1 in ARMPOL’s catalog and price list as an optional component of selected products and enables the preparation of joint proposals and participation in procurement processes, tenders, and implementation projects. This resulted in the creation of a genuine partnership-based sales channel, rather than merely a general expression of interest in future cooperation.

From ARMPOL to Konya—a broader industrial ecosystem is taking shape

The partnership with ARMPOL opens up several practical applications for the X1 platform, the further development of which will depend on technical analyses and the requirements of individual customers. The system can be integrated with specialized containers to serve as mobile command posts, operations centers, or transport, maintenance, or analysis facilities. The second area involves using the X1 as an aerial reconnaissance and surveillance layer in the vicinity of a high-capacity mobile evacuation and transport ferry. The third area covers off-road transport systems and engineering reinforcement solutions, including potential applications analyzed in the context of the “Eastern Shield” program.

In this model, the X1 is not presented as a flying platform operating independently of its surroundings, but rather as a potential component of a larger transportation, reconnaissance, logistics, or command and control system. This approach increases the number of possible configurations and allows us to address users’ specific needs, rather than limiting ourselves to offering a single, fixed product. For MBF Group, this is an example of collaboration based on clearly defined roles, mutual bidding, and a direct commercialization mechanism.

The second pillar of growth remains the ecosystem established during the MBF Group’s visit to Konya, in which Shark Aviation and its CEO, Şaban Abur, played a key organizational and technological role. The discussions covered not only the X1 platform itself, but also the InnoPark Konya Technology Development Zone, the technology business community, Necmettin Erbakan University and its affiliated research center BİTAM, local industry, and representatives of the Selçuklu municipal government. This structure provides access to expertise in research and development, testing, navigation, software, precision machining, production preparation, and technology transfer. The Company’s top priority at present is to translate the relationships it has established into further documents, detailed design plans, road maps, and tangible cooperation between Poland and Turkey.

Konya’s Technology Ecosystem: Laboratories, Precision Manufacturing, and the Development of Unmanned Platforms by MBF GroupThe visit resulted, among other things, in the signing of memorandums with the industrial partner Ali Döşdemir İmalat ve Ticaret and the technology partner MEG Aviation İnovasyon Limited Şirketi. The first company specializes in molds, tooling, precision machining, manufacturing processes, and quality control, while the second focuses on navigation, guidance, autonomy, software, and system integration. This ecosystem is complemented by our collaboration with Defense Bridge, which includes building international industrial partnerships, identifying manufacturers and technology suppliers, locating production facilities, and developing cross-border defense projects. The goal is not to make projects dependent on a single entity, but to create a network of verified capabilities needed for the integration, assembly, testing, maintenance, and future production of systems in Poland.

The technology portfolio under development is not limited to the physical X1 platform, although it remains the most advanced and tangible project at this time. A binding framework agreement with SimFabric laid the groundwork for the Digital Twin Platform project, whose first operational version is to be based on the actual X1 system and will be used to further validate simulation, training, and operational solutions. The SPACE Z1 research and development program remains a separate initiative, encompassing targeted analyses of space-enabled technologies, artificial intelligence, secure communications, autonomy, sensor fusion, and advanced mission management. The program is in its initial phase, which is why MBF Group clearly distinguishes between planned research areas and its current technical capabilities and commercial readiness.

The new structure is intended to protect projects and shareholders’ interests

MBF Group will begin preparations for a new model of technological and industrial cooperation designed for current and future UAV projects and dual-use technologies. The selection of participants will be preceded by an analysis of their actual competencies, authority to propose solutions, organizational skills, and responsibilities regarding documentation and the information provided. The new structure should clearly define decision-making procedures, communication rules, intellectual property protection, work accounting, and the obligation to keep each other informed about activities related to joint ventures. It also remains the Company’s intention to maintain the involvement of the Polish Industrial Lobby and to draw on its expertise within a legal framework free of previous ambiguities.

At the same time, MBF Group will prepare an alternative brand name for the X1 and SPACE Z1 projects, treating this solely as a precautionary measure. Simply filing a trademark application does not automatically confer protection, and the scope and validity of the applications filed will be assessed by the competent authorities. Preparing an alternative naming option does not imply recognizing the rights of others or relinquishing the protection of one’s own position. Its goal is to eliminate even the potential risk of disruptions to production, sales, the presentation at MSPO, and further communication with partners and investors.

“In technology projects, competencies are essential, but competencies alone are not enough if they are not accompanied by transparency, predictability, and mutual respect for the roles of all participants.” From the perspective of someone who engages in discussions with industry partners, investors, and potential customers, it is particularly important to me that the information provided to the Company be complete, verifiable, and shared in a way that does not take the other parties by surprise with decisions regarding our joint project. If, during the course of the project, reality begins to deviate from these expectations, the Management Board’s role is not to escalate a personal dispute, but to calmly mitigate risks and choose the solution that is safest for the Company. “It is our duty today to protect the interests of the MBF Group and its shareholders, to complete the review of the documentation, and to continue working with partners who can combine expertise and technology with a predictable approach,” — says Janusz Czarnecki, President of the Management Board of MBF Group S.A.

MBF Group does not intend to build its future on a dispute over a cooperation model that has come to an end, but rather on results that can be verified and further developed. These include the Iryda+ X1 flying platforms, the recently completed technical demonstration, the preliminary order, the agreement with ARMPOL, preparations for MSPO, relationships within the Konya ecosystem, and ongoing digital and R&D projects. The audit, protection of trademarks, and development of a new partnership structure are intended to safeguard these achievements, not to replace current technological and commercial activities. Our direction therefore remains unchanged: real-world systems, proven expertise, production and integration in Poland, and collaboration with partners for whom transparency is an integral part of our joint ventures.
