On September 4, 2025, we signed with Squadron Sp. z o.o. and the Polish Industrial Lobby named after him. Eugeniusz Kwiatkowski strategic consortium agreement. The document formalizes cooperation between the three entities in the development and deployment of advanced unmanned aerial vehicle (UAV) technologies, counter-unmanned aerial systems (C-UAS), dual-use solutions and projects linked to the Central Industrial District 2 (COP2) concept.
The signing took place during the MSPO 2025 International Defense Industry Exhibition in Kielce – one of the most important defense industry fairs in Central and Eastern Europe. The event brings together hundreds of exhibitors and delegations from around the world each year, showcasing the latest developments in military and security technologies. MBF Group S.A. actively participated in the fair, both as an exhibitor and as a partner in numerous business and expert talks.
The Consortium Agreement was signed for an indefinite period of time and provides for the establishment of a Consortium Council, with representatives from all Parties, which serves as a coordinating body making strategic decisions by a two-thirds majority. The document also regulates the principles of confidentiality, protection of the Parties’ good name, management of intellectual property and commercialization of results, and includes provisions on force majeure and mediation-arbitration procedures in case of disputes. The parties also pledged to provide regular updates on the progress of the three key projects, especially with expectations from potential investors.
The main focus of the Consortium’s activities will be the implementation of three strategic development projects, for which working names have been adopted and preliminary characteristics have been defined, as outlined below. These projects go beyond the concept area – work on them has begun and is underway. Due to the high level of confidentiality and protection of the interests of the Consortium and its partners, the Company can only provide key information at this stage.
Three strategic development projects
ARES (Artillery Realistic Engagement Simulator).
The ARES project involves the development of a next-generation artillery simulator dedicated to the comprehensive training of barrel and rocket artillery crews. The simulator will cover the most commonly used calibers (122mm, 152mm, 155mm) and missile systems, so it will be possible to faithfully replicate real combat conditions. Its modular scenario base will allow simulation of operations in a diverse operational environment – from standard fire exercises to complex coalition operations. A particular value of the project is the possibility of significantly reducing training costs – soldiers will be able to practice procedures outside the training ground, with battlefield realism and visualization of the effects of artillery fire. The market for such solutions is growing rapidly, especially in NATO and countries modernizing their defense systems.
IRYDA PLUS
IRYDA PLUS is a state-of-the-art unmanned fighter aircraft designed to combat drones of various classes. The fixed-wing design will have a top speed of 250-280 km/h, a flight duration of up to 8-10 hours, and a payload of 15-20 kg, allowing the installation of recoil-compensated small arms. A key component of the system will be a ground control station and integration with the TAS (Target-Aim-Shot) system, supported by artificial intelligence, enabling automatic target correction. IRYDA PLUS is part of the global trend of developing C-UAS technology – neutralizing drone threats. It will find application both in the military and in border protection or critical infrastructure security.
MALLARD
The MALLARD project envisions the development of an unmanned transport aircraft for civilian applications – in the courier, logistics and shipping sectors. The design will allow speeds of up to 300 km/h, a range that allows cross-border transport operations, and a payload capacity of up to 1,500 kg. MALLARD’s differentiator will be full automation – from takeoff to flight to landing. In the long term, it is assumed that the platform will be adapted to operate in harsh climatic and terrain conditions (Arctic, desert, mountainous). The project responds to growing market needs for fast and safe transportation of medium-heavy cargo, providing an innovative alternative to traditional road and air logistics.
Projects beyond the concept phase
Individual elements of the projects – ARES, IRYDA PLUS and MALLARD – have in some cases already gone beyond the conceptual stage. This means that the consortium is at a stage of active technical implementation, with clearly defined milestones. In the coming months, both design modifications, laboratory and field tests are planned to refine the systems’ parameters and prepare them for the implementation and commercialization phase. At the same time, it should be noted that there is still a lot of hard work ahead for each member of the consortium.
Synergy of partners’ competencies
MBF Group S.A., as a public company listed on the NewConnect market for more than a decade, has unique experience in raising capital and operating in accordance with the stringent requirements of stock exchange law. The issuer has extensive practice in issuing shares, reporting in accordance with the MAR Regulation, preparing current and periodic reports, and communicating with institutional and individual investors. These competencies make MBF Group a natural integrator of the entire project – a company that not only coordinates the consortium’s work, but also provides it with access to financing from EU funds, private investors and the capital market. It is thanks to its presence on the stock exchange and the trust MBF Group shareholders have earned that it is able to give projects the status of strategic investments, the potential success of which will translate into market value and prestige for the entire group.
MBF Group’s competence, however, goes far beyond finance and capital. The company has been successfully engaged in international trade for many years, focusing on the supply of industrial raw materials, fertilizers, sugar, technical fluids and vegetable oils. The network of contractors developed during this time and the experience in cross-border logistics – from organizing rail and sea shipments, to handling customs, to managing foreign exchange risk – are real competitive advantages that MBF brings to the consortium. Stable revenues from this business segment allow the Company not only to build a secure financial cushion, but also to reinvest profits in new technology ventures. It is the synergy of traditional commercial activities and modern UAV/C-UAS projects that creates a solid development foundation for the entire consortium.
The role of the Chairman of the Board, Janusz Czarnecki, whose managerial experience, track record in building industrial structures and activity in public life constitute the strength of MBF Group’s leadership, should also not be overlooked. The president acts as an integrator both internally and with domestic and foreign partners. Its ability to bring together the business, scientific and military communities makes MBF Group seen as a reliable and stable leader in long-term technology projects. This makes the Company not only the organizer, but also the main beneficiary of the consortium’s future success – both financially and in terms of image.
Squadron Sp. z o.o.
On behalf of Squadron Sp. z o.o. signed the agreement, among others. Board member Mr. Grzegorz Trzeciak – reserve officer, a pilot major who served in the Polish Army for many years and was commander of one of the first drone squadrons in the Polish Armed Forces. Former director of the Center for Unmanned Technology at Lukasiewicz – Aerospace Institute. This experience makes it a pioneer in the field of Polish unmanned technologies.
Squadron is part of the ASE Group, one of the largest private technology groups in Poland, specializing in industrial engineering, automation, process safety and energy. ASE Group has successfully implemented projects for the defense, energy, chemical and transportation industries. Squadron brings to the consortium not only design and engineering competence in UAV and anti-drone systems, but also access to R&D facilities, laboratories and teams of IT/ICT specialists. The company is responsible for systems integration, field testing, preparation of technical and certification documentation, and development of simulators and training environments.
Polish Industrial Lobby im. E. Kwiatkowski
The Polish Industrial Lobby was represented by Prof. Ph. Pawel Soroka – long-time coordinator of the organization and a recognized expert on industrial policy. PLP has been operating since 1993 as an independent expert forum, bringing together representatives from science, industry, trade unions and the military community. The organization has developed and consistently developed the concept of the Central Industrial District 2 (COP2), which aims to rebuild and modernize Poland’s industrial potential.
Professor Soroka is the author of numerous scientific publications on the defense industry, national security and economic development strategies. He brings unique analytical, expert and lobbying competencies to the consortium – allowing it to bring together academia, industry and government. With its track record and position in the public debate, the PLP serves as a platform to integrate the diverse communities interested in the implementation of strategically important technologies.
Business continuity of MBF Group S.A.
The Management Board of MBF Group S.A. emphasizes that the signing of the consortium agreement and the start of the new projects will not cause any disruption to existing commercial contracts. The company will continue to consistently meet its commitments to supply sugar, urea and other chemical products. Long-term relationships with contractors and logistics partners ensure operational stability, while diversification of the supplier portfolio allows for ongoing response to market fluctuations and geopolitical factors.
At the same time, the Issuer assures that carrying out work in the UAV and C-UAS sectors will not adversely affect the Company’s ability to sign new contracts for the supply of sugar, fertilizers, AdBlue liquid, refined and unrefined oils and other products, which have so far been a stable source of revenue. On the contrary, the maintenance and development of traditional operations provides financial and organizational security, allowing free investment in the area of unmanned technologies without the risk of losing liquidity. As a result, MBF Group strikes a balance between current revenue generation and the execution of ambitious, long-term strategic projects.
Development directions and vision for 2024-2026
The conclusion of this agreement is a key stage in the implementation of MBF Group S.A.’s strategy to diversify its operations and enter the high-tech dual-use segment. The integration of industrial, technological and expert competencies paves the way for the Company to build its position as one of the leaders in the European UAV and C-UAS market. In doing so, MBF Group is expanding its business profile from the area of traditional commodity trading to the sector of innovative technologies that will become increasingly important in the security and economy of the future.
MBF Group S.A. will keep investors informed in an ongoing and transparent manner about the progress of the work being carried out within the consortium. A transparent approach to reporting and communication is part of responsible management and the Company’s long-term strategy aimed at building sustainable shareholder value and stably strengthening its position in the high-tech market. Regular stock market announcements and periodic reports will allow stakeholders to follow the next stages of projects, as well as assess their potential impact on the company’s future financial performance and market valuation.
