MBF Advisory Alliance advisory and expert platform launched

The resolution of MBF Group S.A.’s Board of Directors, passed on October 21, 2025, marked the beginning of a new phase in the company’s operations – both structurally and strategically. By the decision of CEO Janusz Czarnecki, the MBF Advisory Alliance (MAA) Platform was established – an initiative that brings together prominent specialists, former soldiers, engineers, analysts and advisors around the company. The purpose of the Platform is to integrate expert and engineering facilities for defense, industrial and technological projects carried out by MBF Group S.A. and to build a community of interest around Poland’s most important industrial and technological projects.

Direction: military sector and new technologies

MBF Group S.A., with a long-standing presence in the industrial, chemical and raw materials industries, has been consistently expanding its business in the military and technology sectors. In recent months, the company signed a consortium agreement with the company Squadron Sp. z o.o. (ASE Group) and Polish Industrial Lobby named after him. Eugeniusz Kwiatkowski (PLP)., initiating a new phase of cooperation at the interface between industry and defense.

The consortium’s projects include. projects IRYDA Plus – a Polish C-UAS class unmanned fighter, MALLARD – a multi-role transport drone with increased range and payload, and ARES – a new generation artillery simulator. It was these ventures that provided the natural impetus for the establishment of the MBF Advisory Alliance Platform, which is intended to provide a sustainable expert, analytical and technological base for MBF Group S.A. and its partners.

The Role of the MBF Advisory Alliance’s Expert Advisory Platform

MBF Advisory Alliance

The MAA platform acts as an integrator of knowledge, experience and expertise from different areas – from defense and engineering to finance, strategic consulting and project management. Its members, selected individually on the basis of experience, will support the company in developing technical analyses, evaluating project solutions, advising on financing and logistics, and representing MBF Group in international markets.

The platform will also serve as an opinion and advisory center to assess the implementation potential of new technological concepts and help adapt them to industrial and military requirements. An important aspect of MAA’s activities will be networking between academia, industry and business, which is expected to facilitate the commercialization of Polish technological solutions. The Platform is also tasked with developing recommendations for MBF Group’s Board of Directors in the selection of strategic partners and risk assessment of new projects. This will make MAA not only an expert resource, but also an active participant in the decision-making process, supporting the company’s development at home and abroad.

“From the beginning, we wanted the MBF Advisory Alliance Platform not to be another forum for discussion, but a real tool for cooperation and knowledge sharing. Poland has enormous technological and engineering potential, but it often operates in a dispersed manner. We want to gather this potential, combine it and give it a concrete direction. Our goal is to build an environment that thinks practically, acts effectively and supports national projects of economic and industrial importance.”
Janusz Czarnecki, CEO of MBF Group S.A.

Common economic interest – the starting point

The MBF Advisory Alliance’s expert and advisory platform combines the perspectives of MBF Group and partners into one cohesive incentive mechanism. It assumes that the development and success of the company’s projects must translate into benefits for the people and companies involved in their implementation. Therefore, each collaboration within the Platform is project-based, based on clearly defined goals, deadlines and performance measures (KPIs). Only real work results translate into benefit sharing.

In addition, cooperation within the MAA Platform has a pro-success dimension – participants not only provide opinions and advice, but co-create concrete solutions. Each project is treated as a joint venture, the success of which represents value for all parties.

Common economic interest – the practice of action

In practice, this means partnership, transparency and mutual trust. Each project has a leader, responsibilities and an implementation plan. The contributions of experts, companies and consultants are documented and evaluated by MBF Group’s Board of Directors, and the results form the basis for any awards or warrants. Such a model of cooperation increases engagement, reduces risks, and helps build a culture of collaboration – based on professionalism rather than formal hierarchies. The MAA platform is an environment of people who understand that real value is created from synergy – where practitioners, engineers, military and analysts join forces for a single purpose.

Warrants – a tool for shared success

An integral component of the MBF Advisory Alliance Platform is a warrant program, developed by MBF Group S.A. as a form of long-term motivation for project participants. Warrants are the right (not the obligation) to buy shares in a company at a predetermined, preferential price – in the future, after the project has achieved specific results. This allows Platform participants to become co-owners of the success they co-create.

This mechanism is simple and fair – it only rewards actual achievements and contributions to the company. There is no room for speculation or empty promises.

“At the core of the MAA Platform is a common economic interest. Any success of our projects should translate into benefits for those who made a real contribution to their development. That’s why we are introducing a warrant program that will link the results of experts, advisors and companies to the value of MBF Group S.A.. It’s a simple, fair and motivating model – we all play to one goal and work to increase the potential of the Polish economy.”
Janusz Czarnecki, CEO of MBF Group S.A.

MBF experience – the basis for the Platform

MBF Group S.A. has more than a decade of experience in trading raw materials, chemical products, vegetable oils and fertilizers throughout Europe. In recent years, the company has expanded into defense and industrial technologies, becoming part of a new ecosystem linking industry, science and engineering

The IRYDA Plus, MALLARD and ARES projects exemplify this transformation – modern, modular structures based on Polish technical thought and European safety standards. The MBF Advisory Alliance’s consulting and expert platform is intended to provide them with a sustainable technological and human resources base.

Benefits for experts, companies and investors

Participants in the MAA Platform gain real influence on the direction of MBF Group projects. They work in an environment that rewards efficiency and loyalty, not formal positions.
For companies – this is an opportunity to enter the supply chain and work with established partners in the defense and industrial sectors. For investors – this signals stability and long-term development. The MAA platform creates a new level of transparency and integration of competencies that strengthens the foundation of a company listed on the NewConnect market.

Participation in the MBF Advisory Alliance Platform also opens access to a unique network of contacts and exchanges between experts, entrepreneurs and representatives of industry institutions. It’s an environment where knowledge meets practice, and cooperation with MBF Group allows participation in projects of strategic importance – both for the company and for the entire national defense and technology sector. For investors, this means greater transparency in the company’s operations, and for experts it means the opportunity for professional development and participation in projects that build Poland’s position in modern industrial and military technologies.
