Patrick Prelewicz – Chairman of RN

Patryk Prelewicz - Member of the MBF Group S.A. RN.

Higher education. Graduate of Wroclaw University of Technology, majoring in Computer Science and Management. He also graduated with a master’s degree from the School of Management and Law’s Department of Pschychology in Business. He has more than 10 years of experience in the implementation of enterprise architecture at all levels: requirements analysis, design, implementation, deployment of applications and systems, optimization, development of concepts for data architecture, processes, systems. For more than 6 years he worked in the banking sector (Deutsche Bank PBC S.A.), where he held a managerial position and was responsible for the area of development of management information systems, management of the data processing area, management of data infrastructure and optimization of business processes.

He was also later associated with Gemius, a leader in Internet research in Poland and Central and Eastern Europe. Speaker at conferences as an expert on Business Intelligence and Enterprise Architecture. He is certified as a professional Coach and a professional business mentor by the Institute of Cognitive Science. He also graduated, among others. training in the Prince 2 project management methodology issued by APMG-International and a certificate in Business Analysis Competency Modeland Career Development issued by MT&DC Management Training & Development Center.

He currently holds a management position at US hedge fund Point72 Asset Management. Point72 is a reputable hedge fund based in the United States. Founded by Steve Cohen, it specializes in capital markets investments, using a variety of investment strategies such as arbitrage, fundamental analysis, long-term and short-term investments and global market trading. Point72 has investments ranging from stocks and bonds to derivatives. Its goal is to generate high returns for investors by actively managing the portfolio and taking advantage of market opportunities.

A member of the Supervisory Board does not meet the independence criteria listed in the Act of May 11, 2017 on auditors, auditing firms and public supervision, in connection with the possession of at least 5% of the total number of votes in the company.

 

Daniel Alain Korona – Vice Chairman of the RN

Daniel Alain Korona - Member of RN MBF Group SA.

Dr. Daniel Alain Korona is a graduate of the Warsaw School of Planning and Statistics (SGPiS), where he majored in finance and statistics. He received his doctorate in economics in 1994. He worked at the Institute of Economic Sciences of the Polish Academy of Sciences (INE PAN) and served as advisor to the chairman of the Securities and Exchange Commission (SEC). He is the author of numerous publications on the efficiency and globalization of capital markets and tax law.

From 1994 to 2007 he was an employee of the Institute of Economic Sciences of the Polish Academy of Sciences, and from 2006 to 2007 he chaired the supervisory board of Elewarr Sp. z o.o., which deals in grain marketing and storage, and later served as its president. In November 2018, he reassumed the position of chairman of the board of directors of this company and served in that capacity until July 2022, leading the company from loss to record profits.

Before 1989, he was an active member of the anti-communist underground. In 1984, he founded the SGPiS French Club, which organized student protests and sent underground press to the Solidarity Coordination Office in Paris. Member of the underground NZS SGPiS, cooperated with the foreign department of the NSZZ “Solidarity” of the Mazovia Region. He was repeatedly interrogated and detained for his activities.

Dr. Daniel Alain Korona is also the author of academic papers on the National Investment Funds program, efficiency and globalization of capital markets, as well as works for the Office of Expertise and Analysis of the Polish Parliament on budget, privatization and tax issues. He has worked as a lecturer, among others. at the Higher School of Pedagogy of the Common Knowledge Society, the Higher School of International Trade and Finance and the Academy of Humanities and Economics

A member of the Supervisory Board meets the independence criteria listed in the Act of May 11, 2017 on Certified Public Accountants, Audit Firms and Public Supervision, and demonstrates that he or she has no real and significant ties with a shareholder holding at least 5% of the total number of votes in the company.

 

Karolina Pewniak – Member of RN

Karolina Pewniak - Member of RN MBF Group SA.

Karolina Pewniak is an associate attorney at the Warsaw District Chamber of Legal Advisors (WA-7454) and has over 20 years of professional experience. She is a graduate of the Faculty of Law and Administration at the University of Warsaw and completed postgraduate studies in bankruptcy and enterprise restructuring at Lazarski University in Warsaw. She completed her legal counselor’s apprenticeship from 2005 to 2009, earning the title of legal counselor.

She gained her professional experience by working, among others. As a Reference Officer for the She was a member of the Legal Affairs Committee at Apena S.A. (Elektrim Group) in 2005, where she was in charge of preparing legal opinions, drafting documents and cooperating with law firms. From 2005 to 2006, she served as an Advisor on the Affairs of the Ministry of Finance. She was a member of the Legal Advisory Committee at Elektrim – Volt S.A., where she was responsible for providing legal advice on commercial, civil, energy and labor law, as well as cooperation with external law firms.

Over the years, she has also worked in the legal services departments of such companies as Elektrim SA and INTERRISK Towarzystwo Ubezpieczeń SA, Vienna Insurance Group. Since 2011, she has run her own legal practice, and since June 2021, she has been the owner of Pewniak and Partners Law Firm Sp.k., which specializes in legal counseling, representing clients in civil and criminal cases, and especially in debt collection and enforcement proceedings.

Karolina Pewniak has also participated in numerous business projects and commercial transactions, including. introducing the Slippers Family brand to the Polish market. He provides legal services to both businesses and non-governmental organizations (NGO’s).

Wojciech Ahnert – Member of RN

Wojciech Ahnert - Member of the Supervisory Board of MBF Group SA.

Licensed property manager (license number: 27935). He is very familiar with the real estate market in the Silesian agglomeration. He specializes in the silver and gold investment market. He runs a public relations firm. In the 2014 local elections. He unsuccessfully ran for a seat on the Chorzow city council. He won his council seat in the 2018 elections. He is currently CEO of Nalson sp. z o.o., Board Member of For Success sp. z o.o. and Councilman of the City of Chorzow (elected for another 5-year term in the 2024 elections).

Plenipotentiary of the Mayor of the City of Chorzow for the Affairs of the City of Chorzow. Sustainability Strategy and Business Cooperation. Member of the Safety and Order Commission for 2024-2027 in the city of Chorzow. Since August 2024, a member of the supervisory body of “Ruch Chorzów” Joint Stock Company – one of the oldest and most successful Polish football clubs in history.

Dariusz Czarkowski – Member of RN

Dariusz Czarkowski - Member of the Supervisory Board of MBF Group SA.

A graduate of an electrical technical school. Throughout his career, i.e. Since 1996, associated with the development of the automotive company. Entrepreneur associated with the automotive industry in particular in the service and trade. His passion for automobiles and love of technology have led him to constantly expand his knowledge by attending industry conferences and specialized training courses.An experienced stock market investor. He has knowledge of automotive, economics and finance.

According to the Company’s Articles of Association, the Supervisory Board of MBF Group S.A. may consist of from 5 (five) to 7 (seven) members. The members of the Company’s Supervisory Board are not engaged in activities competitive to MBF Group S.A.’s business. They are not members of a body or partners in a competing company and are not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register. Members of the Company’s Supervisory Board avoid engaging in professional or non-professional activities that could lead to conflicts of interest or negatively affect their reputation as a member of a corporate body.
